About the role

The Senior Legal Counsel for the Americas is expected to use experience and expertise in enterprise SaaS to support the company’s commercial business in the Americas.

Reporting to the Legal Director located in Helsinki, Finland, you will draft and negotiate agreements for SaaS, professional services and other transactions with our customers which includes customers of many sizes from many different segments.

You will counsel Aiven’s go-to-market team on a range of matters including revenue generating transactions as well as strategic partnerships. There will be a strong emphasis on SaaS, and complex professional services agreements, inclusive of data privacy and data protection. You will be comfortable working under sales-driven deadlines in a sales support role, and willing to work collaboratively to meet quarter-end goals. The role will also include providing legal support to marketing, people and product functions in a variety of legal topics.

Key responsibilities

Draft and negotiate a variety of agreements for direct and indirect revenue generation, including SaaS agreements, marketplace agreements, order forms, professional services agreements, and partnership agreements with resellers and technology collaborators.

Ability to spot and solve issues related to intellectual property, compliance, risk management, privacy, cybersecurity, export/import, content regulation, and other legal issues. Ability to collaborate with colleagues on the GTM, Legal, Finance and Product functions to address those issues.

Ability and experience in interacting with executives and senior management on material issues related to commercial transactions.

Giving accurate and timely counsel to various business teams based globally on a variety of legal and commercial matters

Advise on risks and liabilities of proposed commercial transactions and implement legal initiatives to meet bold business objectives

Drive ongoing enhancements of templates, forms, policies, and processes to streamline and simplify deals and product/service terms.

Pursue continuous improvement, scalability, and operational excellence in contract management, workflows, deal processes, and execution.

Work with various stakeholders to provide training and education to internal cross functional teams to assure conformity and consistency in application of legal policies and procedures as they relate to commercial transactions and other significant corporate transactions.

Support other general corporate matters, including marketing, sourcing, insurances, compliance and special projects from time to time.

Requirements

J.D. degree from an accredited law school in the US.

At least 10 years of relevant commercial transactions experience, including directly relevant software and SaaS experience.

Admission to practice law in a US jurisdiction is required.

Professional fluency in English is required.

Practice at a major law firm and prior in-house experience at a technology company strongly preferred.

Ability to interact comfortably with executives and senior management.

Strong verbal and written communication skills.

Flexibility as to the types of projects assigned.

Ability to manage several simultaneous projects under deadline pressure.

Detail-oriented, and willing to see projects through from start to finish.

Team-oriented, and comfortable working with a global legal team.

Proven analytical and evaluation skills.

Willingness to travel occasionally.
